Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you (“you” or “Learner”), whether personally or on behalf of an entity, and Training Mentoring Tutoring Exam Preparation, LLC (“we,” “us” or “our”) that together constitute the “parties” of the agreement.

WHEREAS, TMT is a corporation that offers training, mentoring, and tutoring services for a fee to the Learner that may be provided by “means” that include in-person, by telephone, via email, and/or by web conferencing that involves conveying “material” (information and/or data) or providing consultation verbally and/or visually for the purpose of the assisting the Leaner in preparing for examination (test) assessments; and

WHEREAS, the learner desires to be trained, mentored, and/or tutored for the examination (test) assessments, including but not limited to the Project Management and Professional Certification Exam (“PMP Certification Exam”);

WHEREAS, the Leaner will be provided, assisted in obtaining, or recommended to obtain materials in forms that may include written, verbal, lecture, slides, images, video, and webcam for the sole purpose of the Learner to prepare for examination which is not to be reproduced, shared, conveyed, or sold to any other person; and

WHEREAS, material provided, assisted, or recommended that is copyright, trademarked, and/or patent protected may not be reproduced without prior express written request and approval by the business or organization possessing the copyright, trademark and/or patent protection, and material (written, verbal, slides, images, videos, and video cam lectures) conveyed by web conferencing cannot be recorded or shared; and

WHEREAS, TMT costs are dependent on the cost for services associated with the training, mentoring, and/or tutoring (e.g. lecture, consultation) curriculum, the materials (textbooks, workbooks, manuals) provided by or through TMT, third-party website access provided through TMT, the number of registrants, and the time required to conduct the services associated with training, mentoring and/or tutoring are identified on the relevant service pages on the website, which is incorporated herein; and

In consideration of the aforementioned, the Learner agrees to retain TMT to provide training, mentoring, and/or tutoring and TMT agrees to provide said services.  Both parties will abide by the conditions of the entire agreement.  The Learner may request a refund within seven (7) days of signing this agreement for those services identified in Schedule A Curriculum and Cost not provided, excluding materials received by or mailed to the Learner, and third party website access fees.   

TMT does not convey or imply that a Learner receiving Training, Mentoring or Tutoring will pass the PMP certification exam.  TMT offers the following guarantee to any Learner who takes TMT training and website access to materials if chosen: 

A Learner who completes the TMT training curriculum and takes the PMP exam within 45 days after completing the training but does not pass the PMP certification examination on their first attempt after completing a Training class will be allowed to take the Training class a second time without paying costs (service and materials) when a TMT training class is scheduled.  A Learner who does not pass the PMP certification exam must notify TMT in writing within 30 days after taking the exam and becoming aware of not passing the certification exam.  Evidence of exam score and associated information must also be provided within 30 days to facilitate confidential communication that will be useful in assisting the Learner to pass the PMP certification exam on their second attempt. 

A Learner who completes the training class a second time and takes the PMP exam within 45 days after completing the TMT training class but does not pass the PMP certification examination on their second attempt will be allowed to take a TMT Training class a third time without paying cost (service and materials) when a TMT Training class is scheduled OR obtain a refund for the TMT Training fees minus the cost of materials (written, electronic, and/or website access).  A Learner who does not pass the PMP certification exam on their second attempt must notify TMT in writing within 30 days after taking the exam and becoming aware of not passing the certification exam.  Evidence of exam score and associated information must also be provided within 30 days to facilitate confidential communication that will be useful in assisting the Learner to pass the PMP certification exam on their third attempt. 

THE MATERIALS AND ACCOMPANYING WEBSITE ACCESS (IF CHOSEN) ARE PROVIDED “AS-IS” WITHOUT WARRANTY OF ANY KIND. FURTHER, TMT DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS  OF THE USE, OF THE MATERIALS OR ACCOMPANYING WEBSITE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE MATERIALS AND THE WEBSITE IS ASSUMED BY YOU.

NEITHER TMT NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY/ACCESS OF THE MATERIALS OR ACCOMPANYING WEBSITE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS. INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE, ARISING OUT OF THE USE OR INABILITY TO USE THE MATERIALS OR WEBSITE EVEN IF TMT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This agreement shall be governed by the laws of the State of Florida, United States of America, and the parties hereto select Leon County, Florida as the forum and venue for any lawsuit or other legal proceeding concerning any dispute between the parties, with Florida law to apply.
